Partner terms
Courtesy translation. The French version is the reference: if the two differ, the French text prevails.
These terms describe the general framework of the partnership between Bladayaa and shops. The final commercial terms are set out in the contract signed with each partner.
The partner’s role
- The partner freely publishes its baskets: contents, original value, price, quantity and pickup window.
- It remains responsible for the quality, food safety and compliance of the products offered.
- It may withdraw an offer that has not yet been reserved. A confirmed reservation must be honoured, unless it is genuinely impossible (in that case, the partner informs Bladayaa without delay so the customer can be told and the reservation cancelled).
No volume commitment
- No minimum volume is required. The partner only publishes when it has products available.
Price, original value and basket contents
- The displayed price is the total price paid by the customer, taxes included. The stated original value must be the price the shop actually charges for equivalent products: no inflated value to make a discount look bigger.
- The announced contents, quantity and pickup window must match what is handed over. The partner hands over products fit for consumption, in compliance with the health regulations applicable to its business.
- The partner lists the allergens that may be present and informs the customer on request at handover.
Payment and commission
- The customer pays the partner directly on site, at pickup: Bladayaa does not collect the basket price.
- Bladayaa’s commission, its calculation basis, the applicable VAT regime, and the invoicing and payment frequency and terms are set in the contract signed with each partner. The same rate appears in the contract, in the partner area and in Bladayaa’s accounts; any change is notified to the partner before it applies.
Cancellations and uncollected baskets
- The customer may cancel under the conditions described in the cancellation policy. A basket not collected during the pickup window is closed; the partner does not have to keep it.
Customer data
- The partner receives only the details strictly needed to hand over the basket (first name, phone number if provided, pickup code). It undertakes to use them only to hand over the basket or contact the customer about it, not to keep them beyond that, not to transfer them and not to use them for marketing.
Image and presentation
- Bladayaa presents each shop faithfully: careful photographs, accurate description, stated original value.
- No shop is presented as a partner without its prior agreement.
- The partner warrants that it holds the rights to the photographs and content it provides and authorises Bladayaa to display them to present its offers for the duration of the partnership.
Customer reviews
- Reviews come from customers who actually collected a basket. The partner may not write, buy or edit them; Bladayaa may hide an unlawful or abusive review.
Fraud, suspension and termination
- In case of fraud (fake offers, clearly false original value, misuse of customer data) or repeated breaches of these terms, Bladayaa may suspend the partner’s account after informing it of the reason.
- Either party may end the partnership with the notice set in the contract. Reservations already confirmed on the end date must still be honoured.
Food safety and compliance
- The partner is a food business operator within the meaning of Law No. 28-07. It declares that it holds and maintains the health authorisations, approvals or registrations required for its business (in particular with ONSSA where the law requires it) and complies with the applicable hygiene, traceability and labelling rules.
- It only puts in baskets products fit for consumption whose use-by date has not passed at handover; it maintains the cold chain until handover and informs the customer of storage precautions.
- It accurately lists the allergens present or likely to be present, including as traces, and answers the customer’s questions at handover.
Liability and indemnity
- The partner is the sole seller of the basket: it alone is responsible for the products it hands over, their compliance, their safety and the information it publishes. Bladayaa is only responsible for its matching and reservation service, within the limits set by the contract and by law.
- The partner indemnifies Bladayaa against any claim, action or judgment based on the products it hands over or the information it publishes (food poisoning, allergy, non-compliant product, inaccurate description), including reasonable defence costs, to the extent permitted by law. This indemnity is limited to breaches attributable to the partner, after an opportunity to respond, and does not cover Bladayaa’s own fault.
- The partner declares that it holds professional liability insurance suited to its business and provides proof on request.
- If a health incident is reported, the partner cooperates without delay with Bladayaa and the authorities; Bladayaa may suspend its offers during the investigation.
